Terms and Conditions — Aurea App

  1. What is Aurea?

  1. Welcome to Aurea — we are delighted to have you with us! Through our web interface (the “Platform”), Aurea Hub S.r.l. makes available to users (hereinafter “End Users”) a web interface that acts as an aggregator of multiple regulated service providers in the areas of digital banking,
    crypto, DeFi wallets, and Web 3.0 (collectively, the “Service”).

  1. The Service is provided by Aurea Hub S.r.l., with registered office at Via Giosuè Carducci 18, 20123, Milan (MI), Italy, VAT No. 12889220963 (“Aurea”).

  1. Hub S.r.l. is exclusively a technology provider. Aurea is not a payment institution, an electronic money institution, nor a bank authorised under Directive (EU) 2015/2366 (PSD2) or any other
    applicable financial regulation. Aurea does not hold End User funds, does not execute financial transactions, and does not provide payment
    services in the strict legal sense. Such services are provided exclusively by the regulated Partners indicated in Article 4 below.

  1. What is this document?

  1. This document sets out the terms and conditions (the “Conditions”) governing the relationship between you, as an End User, and Aurea, regarding your use of our Platform and the Service offered. By using the Platform, you fully accept these Conditions.

  1. We reserve the right to amend them at any time: following each update, we will notify you at the email address you provided and publish the changes on our website https://www.aureahub.com (the “Site”). We recommend consulting the site periodically to stay updated.

  1. The new Conditions will become effective 15 days after publication. If you do not accept the changes, you may withdraw from the Service in accordance with the procedures set out in Art. 8.

  1. How can I use the Service and create. my account?

  1. To use the Service offered by Aurea, the End User must first create an account through the application (hereinafter “App”).

  1. Once registration is complete, the End User may use the App interface to browse and access the services offered by Aurea’s Partners.

  1. We ask you to be transparent with us and to provide accurate and up- to-date information. It is strictly prohibited to use false data or to impersonate another person during Registration.

  1. Access to Partner services takes place in an integrated manner, but without Aurea directly managing transactions or holding funds. When the End User selects a service, they are automatically redirected to the Partner’s interface, where they may complete the procedure and finalise operations in accordance with the Partner’s own terms and conditions.

  1. Registration on the App is free of charge and does not entail any additional cost.

  1. You are solely responsible for the security and confidentiality of your account credentials.

  1. In the event of loss, theft, or suspected unauthorised access by third parties, please notify Aurea immediately and change your credentials without delay.

  1. In no event shall Aurea be liable for the loss, disclosure, theft, or unauthorised use of your Aurea account credentials by third parties.

  1. I am an End User. How does the Service work?

  1. Through the App, you can access an advanced interface that allows you to use the services offered by our Partners easily and immediately.

  1. To use the Service, follow these simple steps:

Create your account: complete registration by entering your email address, or sign in via Google or Apple ID. You may also optionally choose a username.

Access the Home: inside the App, you will find an intuitive interface that allows you to explore and select the services offered by Aurea’s Partners.

Gnosis Pay payment card: if you choose to activate the payment card services offered by Gnosis Pay Co Ltd (hereinafter “Gnosis Pay”) available within the App, you will be asked to provide certain personal information: name, surname, email address, and residential address. You will then be redirected to complete the identity verification (KYC) process, carried out directly by Gnosis Pay or its Partners (including Sum and Substance Ltd — SumSub). Once verification is successfully completed, you will be able to access all payment card services provided by Gnosis Pay and its affiliates, including the issuance of a physical or virtual card on the VISA network, the management of a non-custodial wallet on the Gnosis Chain blockchain, and the associated cashback programme.

Monerium services (coming soon): the App will integrate the services of Monerium EMI ehf (hereinafter “Monerium”), a European electronic money institution, which will offer the End User a dedicated IBAN and the ability to make and receive SEPA transfers directly in EURe stablecoins on blockchain. KYC/KYB for access to Monerium services is managed directly by Monerium via the SumSub provider.

Start a transaction: access the interface of the selected Partner. On first use, you must complete the identity verification (KYC) process required by the Partner. Once verified, you can carry out operations quickly and without further steps.

Manage your transactions: through the App, you can monitor the status of operations carried out with Partners, with full visibility at all times. The App acts as a web interface channelling End Users towards Partner services, without directly intervening in financial transactions or the custody of funds.

  1. The End User may, entirely at their own discretion and on a voluntary basis, choose to use a tax return assistance service made available through a collaboration between the Platform and Tatax S.r.l. (hereinafter “Tatax”). By joining the service, the End User consents to the sharing, between the Platform and Tatax, of the following data, limited strictly to what is necessary for the tax assistance purpose: (i) data available in the End User’s Partner dashboard; (ii) data collected during Platform registration (sign-up); (iii) data relating to transactions carried out via the Partners (where technically available). Data sharing will take place exclusively with End Users who have given explicit consent, and will be governed by a dedicated privacy notice provided at the time of enrolment in the Tatax service. Use of the Tatax service is optional and does not in any way affect the End User’s ability to access or continue using the other services offered by the Platform.

4-bis. Referral Programme and Bonus

Aurea reserves the right to implement an incentive programme (“Referral Program”) for End Users, in order to promote use of the Platform and the onboarding of new users. Under this programme, Aurea may award a Referral Bonus of 15 (fifteen) Stablecoins for each Qualified End-User onboarded.

For the purpose of calculating the Referral Bonus, “Qualified End-User” means a prospective End User who: (i) has completed the onboarding process and ordered a Gnosis Pay Card through the Partner interface (Partner UI) using the Partner identification code within the Gnosis Pay interface; and (ii) holds/carries out transactions with a total aggregate value of 50 (fifty) Stablecoins within 30 (thirty) days of card activation, in accordance with the terms defined by Gnosis Pay in its cashback programme.

Aurea shall have the right to organise the aforementioned 15 Stablecoin amount for the creation and management of marketing campaigns or referral bonus initiatives for its clients, according to the methods it deems most appropriate.

  1. Can i delete my account?

  1. You may delete your account and all the information it contains at any time, by accessing the Home and consulting the relevant section in Settings.

  1. Alternatively, you may delete your account and all the information it contains by sending a request to help@aureahub.com.

  1. Deletion of your account will be completed within 30 (thirty) days of receipt of the request. Once deleted, all your personal data will be erased in accordance with our Privacy Policy.

  1. What are my obligations?

  1. By registering on the Aurea Platform, you agree to: provide exclusively truthful, correct, and complete information relating to your identity and any other data required to use the Service; keep your App login credentials secure and avoid sharing them with third parties; use the Platform in compliance with these Conditions, in accordance with its purposes, and refrain from any unlawful, fraudulent, or harmful conduct towards Aurea or third parties.

  1. In the event of a breach of one or more of the obligations set out in these Conditions, this agreement shall be deemed automatically terminated by operation of law pursuant to Art. 1456 of the Italian Civil Code, without prejudice to Aurea’s right to claim compensation for damages suffered and to make any reports to the competent authorities.

  1. Are there any limitations of liability in favour of Aurea?


  1. Aurea Hub is committed to providing a smooth and intuitive experience to facilitate access to the services offered by its Partners. However, we cannot guarantee that the App will always be free from errors, interruptions, or malfunctions. Technical issues, system updates, maintenance, or force majeure events may temporarily affect the availability of the Service.

  1. The Aurea Hub App acts exclusively as a technology interface to allow End Users to access third-party services, without directly intervening in transactions, order management, or the custody of funds. Aurea Hub is not a payment institution or electronic money institution and does not provide regulated financial services. For this reason, Aurea is not responsible for any problems arising from the services offered by Partners, including but not limited to:

    Service interruptions or restrictions due to technical malfunctions, maintenance, cyberattacks, or other events beyond our control.

    Errors or inaccuracies in content: information on Partner services is provided directly by the providers and may not always be up-to-date or accurate.

    Regulatory compliance and KYC/AML checks: identity verification processes and compliance measures are entirely managed by Partners (Gnosis Pay, Monerium) and third-party providers such as SumSub. Aurea carries out no direct verification and is not liable for any delays or issues related to these processes.

    Financial transactions: Aurea does not manage or hold fiat or crypto funds, nor does it manage related transactions. Funds are managed directly by regulated Partners or held in the End User’s non-custodial wallet.

    Transaction outcomes: the App provides simplified access to Partner services but does not guarantee the success of transactions, which depend exclusively on the financial service providers involved.

    Service changes or suspensions: Partners may modify, suspend, or discontinue their services without notice. Aurea is not responsible for any inconvenience arising from such changes.

  1. Aurea shall not be liable for any disruptions, interruptions, delays, malfunctions, or errors in the App attributable to external and uncontrollable factors, including but not limited to internet connectivity issues, software bugs, incorrectly installed updates, device or operating system incompatibilities, server failures, or third-party errors.

  2.   3. Aurea does not act as an intermediary or representative of the Partners and does not provide financial or legal advice, nor does it act as a financial educator. The End User is responsible for using the Service in compliance with applicable regulations and for independently assessing the reliability and suitability of the services offered by Partners.

  4. Aurea acknowledges that the services accessible through the Platform are subject to regulations and authorisation processes. However, each Partner is responsible for holding all licences, authorisations, and meeting the requirements of the applicable regulations in the countries in which it operates.

  5. The End User acknowledges that Aurea bears no responsibility whatsoever for Partners’ compliance with their own regulatory obligations.

  6. By accepting these Conditions, the End User agrees to indemnify and hold harmless Aurea from any claim, damage, or cost arising from the use of the App or from third-party services accessible through it.

  1. When can you withdraw from this agreement?

  1. Privacy

  1. The personal data you provide to us is processed by Aurea Hub with the utmost care and in full compliance with applicable data protection legislation, including Regulation (EU) 2016/679 (“GDPR”) and Legislative Decree 196/2003 (“Privacy Code”). For further details on the processing of your data, please consult our Privacy Policy at: https://www.aureahub.com/privacy-policy.

  1. Your personal data will be used exclusively to provide you with the Service and to ensure an optimised App experience. In particular, Aurea Hub will use your data to:

    Create and manage your account and allow you to access the services available on our platform.

    Facilitate access to Partner services, redirecting you to third-party platforms to complete the required operations.

    Send you updates and notifications relating to App features, in accordance with your contact preferences.

  1. Aurea Hub does not collect or process data relating to your financial transactions or operations carried out with Partners. Identity verification (KYC) and regulatory compliance checks are managed directly by service providers (e.g. Gnosis Pay and Monerium) via the SumSub provider, without Aurea having access to such information.

  1. Should the App be updated with personalisation or data analytics features, processing will always take place on the basis of your consent, which you may provide or withdraw at any time by writing to: help@aureahub.com.

  1.  If you provide us with personal data of third parties, you warrant that you have obtained it lawfully and with the consent of the individuals concerned, where required. Aurea Hub shall not be liable for the processing of third-party data provided without authorisation. By accepting these Conditions, you agree to indemnify and hold us harmless from any damage, claim, or sanction arising from violations of personal data protection regulations.

  1. Intellectual Property

  1. The Aurea Hub Platform and all related content, including but not limited to texts, graphics, logos, icons, images, software, databases, registered and unregistered designs, distinctive signs, patents, copyrights, and any other intellectual or industrial property right (hereinafter “IP Rights”), are the exclusive property of Aurea or its licensors and are protected by applicable national and international laws.

  1. Aurea grants you a personal, limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform solely for the purpose of using the Service and for the duration of this agreement. You are not permitted to: claim any ownership, title, or economic exploitation of the IP Rights; modify, copy, distribute, reproduce, transmit, publish, create derivative works, sublicense, sell, or otherwise exploit the IP Rights without Aurea Hub’s prior written consent.

  1. You undertake to refrain, both during and after the term of this agreement, from any act that may prejudice or harm Aurea’s IP Rights in any way.

  1. In the event of infringement of Aurea’s IP Rights, Aurea reserves the right to take all necessary legal measures to protect its rights, including seeking compensation for damages suffered.

  1. Duration

  1. These Conditions shall take effect for End Users registered on the Platform from the date of acceptance during the Registration process.

  1. Your right of withdrawal, as indicated in Article 8 of these Conditions, remains unaffected.

  1. Governing Law and Jurisdiction

  1. These Conditions are governed by Italian law.

  1. Any disputes relating to the validity, interpretation, performance, termination, or cancellation of this agreement shall be subject to the exclusive jurisdiction of the Courts of Milan, without prejudice to the mandatory consumer jurisdiction based on your place of residence or domicile, where you qualify as a Consumer under applicable law.

  1. For End Users resident in the European Union acting as consumers, the European Commission’s ODR platform for alternative dispute resolution is available at: https://ec.europa.eu/consumers/odr.

Terms and Conditions — Aurea Pay

  1. Definitions

  1. “Service” means the technology platform called Aurea Pay, made available by Aurea Hub S.r.l., enabling Merchants to generate payment links, receive funds via SEPA and card circuits, automatically convert such funds into Stablecoins on the Base blockchain, and send outgoing payments to third-party IBANs.

  1.  “Aurea Hub” or “Aurea” means Aurea Hub S.r.l., with registered office at Via Giosuè Carducci 18, 20123 Milan (MI), Italy, VAT No. 12889220963, developer and operator of the Service in its exclusive capacity as a technology provider.

  1. “Merchant” means any adult natural person or legal entity that registers with the Service in order to collect payments from its customers.

  1. “Payer” means any person who makes a payment via a link generated by the Merchant through the Service.

  1. “Rail” means the technical and regulatory circuit through which payments are processed. Two Rails are currently available: (a) Noah Rail, processed via the financial Partner Noah LT, UAB; (b) Monerium Rail, processed via the financial Partner Monerium EMI ehf. (coming soon).

  1. “Financial Partner” means the regulated third parties — Noah LT, UAB and Monerium EMI ehf. — with which Aurea Hub has entered into technical integration agreements for the provision of financial services accessible through the Service. Financial Partners operate independently and under their own regulatory responsibility.

  1. “Non-custodial Wallet” means the Merchant’s digital wallet on the Base blockchain, whose private key is derived exclusively client-side and is never exposed to Aurea Hub’s servers. Aurea Hub does not hold, know, or have the ability to recover that private key under any circumstances.

  1. “Stablecoin” means the cryptocurrency units nominally pegged to fiat currency used in the Service: USDC (issued by Circle Internet Financial, LLC) on the Noah Rail, and EURe (issued by Monerium EMI ehf.) on the Monerium Rail.

  1. “IBAN” means the International Bank Account Number identifying a bank or payment institution account.

  1. “KYC/KYB” means, respectively, identity verification processes for natural persons (Know Your Customer) and legal entities (Know Your Business), carried out by the Financial Partners for AML/CFT compliance purposes.

  1. “Platform” means the web interface, APIs, and software components made available by Aurea Hub for the provision of the Service.

  1. Description of the Service and its Nature

  1. Technological nature of the Service. Aurea Pay is a technology intermediation tool. Aurea Hub S.r.l. is exclusively a technology provider: it is not a payment institution, an electronic money institution, nor a bank authorised under Directive (EU) 2015/2366 (PSD2) or any other applicable financial regulation. Aurea Hub does not provide payment services in the strict legal sense, does not hold funds of Merchants or Payers, and does not directly execute financial transactions. All payment, currency conversion, electronic money custody, and fund remittance services are provided exclusively by the regulated Financial Partners indicated in Article 3.

  1. Service functionality. The Service enables Merchants to: (i) generate customised payment links; (ii) receive payments from third parties via SEPA, debit cards, Apple Pay, and Google Pay; (iii) receive funds automatically converted into Stablecoins in their Non-custodial Wallet on the Base blockchain; (iv) send outgoing payments to third-party IBANs; (v) request payouts in EUR to their personal or business IBAN. The Merchant selects the Rail through which to operate at the time of registration.

  1. The new Conditions will become effective 15 days after publication. If you do not accept the changes, you may withdraw from the Service in accordance with the procedures set out in Art. 8.

  1. Service modifications. Aurea Hub reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with 30 days’ prior notice where possible, except in cases of urgency, force majeure, or regulatory obligation.

  1. Financial Partners

The financial services accessible through Aurea Pay are provided exclusively by the following regulated entities, each operating independently and under its own regulatory responsibility. Aurea Hub is not a party to the contractual relationships between the Merchant and the Financial Partners, nor is it responsible for the services they provide.

The Merchant must read, understand, and accept the terms and conditions of each Financial Partner before accessing the relevant services. The Financial Partners’ terms are independent and separate from these T&C.

  1. Eligibility

  1. The Service is reserved for natural persons aged 18 or over with full legal capacity under applicable law, and for legally incorporated entities in good standing.

  1.  Use of the Service is prohibited for persons: (a) resident or operating in jurisdictions subject to international sanctions (OFAC, EU, UN) or where applicable restrictions are incompatible with the Service; (b) included on sanctioned persons lists; (c) who have been denied registration or suspended by Aurea Hub or the Financial Partners.

  1. For non-natural persons, acceptance of these T&C must be made by a legal representative or a person duly authorised to do so.

  1. The Merchant is solely responsible for verifying its own eligibility and compliance with the regulations of its jurisdiction.

  1. Can i delete my account?

  1. To access the Service, the Merchant must complete the registration process on the Platform by providing accurate, truthful, and up-to-date information.

  1. At the time of registration, the Merchant must select the Rail they wish to use (Noah or Monerium). This choice is final and cannot be changed for the registered account.

  1. Only one registration per natural or legal person is permitted. Attempts to create multiple accounts may result in the immediate suspension of all accounts involved.

  1. The Merchant is responsible for the confidentiality of their login credentials. Aurea Hub shall not be liable for losses arising from unauthorised use of the Merchant’s credentials.

  1. Acceptance of these T&C and Aurea Hub’s Privacy Policy takes place by explicitly ticking the relevant checkbox during the registration process.

  1. Non-Custodial Wallet and Key Management

  1. Each registered Merchant has a Non-custodial Wallet on the Base blockchain. The private key of that Wallet is derived exclusively client-side via the Web3Auth MPC/TSS provider, using the Firebase authentication token (idToken) as the authentication factor. The private key is never transmitted to or stored on Aurea Hub’s servers.

  1. The Merchant is the sole custodian and controller of the funds in their Non-custodial Wallet. Aurea Hub has no access, direct or indirect, to the Merchant’s funds. The system is architected so that Aurea Hub is technically unable to move, block, or recover the Merchant’s funds.

  1. Aurea Hub is unable to recover funds, reverse on-chain transactions already executed, or intervene in any way in operations recorded on the Base blockchain. The irreversibility of blockchain transactions is an intrinsic technical characteristic and does not constitute a breach by Aurea Hub.

  1. Recovery of access to the Non-custodial Wallet depends entirely on the Merchant’s ability to access their registered email account with Firebase. Loss of access to the registered email address — where not recoverable via Firebase/Google password reset procedures — results in permanent and irrecoverable loss of funds in the Wallet. Aurea Hub disclaims all liability for such events.

  1. The Merchant must keep their email account secure, enable two-factor authentication where available, and keep account recovery information up to date.

  1. KYC/KYB via Financial Partners

  1. Access to the Service is conditional upon successful completion of the KYC/KYB process managed entirely by the Financial Partner selected at the time of registration. Aurea Hub does not perform, supervise, or intervene in any way in KYC/KYB verification processes.

  1. Merchant approval is at the exclusive discretion of the Financial Partner. Aurea Hub is not responsible for any refusals, delays, or suspensions decided by the Financial Partner under its own AML/CFT policies.

  2. The Merchant must provide only truthful, accurate, and complete information during the KYC/KYB process. Providing false or misleading information constitutes a material breach of these T&C and may be reported to the relevant authorities.

  3. Any suspensions or revocations of the Merchant’s account by the Financial Partner automatically result in the suspension or inability to use the Service, without this constituting a breach by Aurea Hub.

  4. Data collected during KYC/KYB is transmitted to the Financial Partners for regulatory compliance purposes, as described in detail in the Privacy Policy at https://www.aureahub.com/privacy-policy.

  1. Inbound Payments

  1. Inbound payments are processed by the relevant Financial Partner (Noah or Monerium), acting as a regulated entity. Aurea Hub does not intervene in payment processing, does not accept funds on behalf of the Merchant, and does not hold them.

  2. SEPA payment credit times depend on the Financial Partner’s procedures and the interbank system. Aurea Hub does not guarantee any specific timeline.

  3. For card payments (Noah Rail): the Merchant acknowledges the risk of chargebacks. In the event of a chargeback accepted by Noah, the Merchant will be required to return the corresponding funds in accordance with Noah’s policies. Aurea Hub is not a party to chargeback proceedings.

  4. The Merchant must ensure that Payers are the legitimate holders of the bank accounts or payment instruments used. The Merchant is directly liable to the Financial Partner and the relevant authorities for any fraudulent payments made via their payment link.

  5. Each payment link generated through the Service contains a unique reference identifying the transaction. The Merchant is responsible for correctly configuring amounts and currencies in their payment links.

  1. Conversions and Stablecoin Custody

  1. Funds received through the Service are automatically converted into Stablecoins (USDC or EURe, depending on the Rail) and credited to the Merchant’s Non-custodial Wallet on the Base blockchain. Conversion is carried out by the Financial Partner.

  2. USDC and EURe are not legal tender (fiat currency) recognised by any legal system and are not covered by deposit guarantee schemes.

  3. Aurea Hub does not guarantee the maintenance of the 1:1 peg between Stablecoins and the reference fiat currency. The risk of peg loss depends on the issuers: Circle Internet Financial, LLC for USDC and Monerium EMI ehf. for EURe. Aurea Hub disclaims all liability in the event of peg loss, insolvency, or default of the issuers.

  4. Stablecoin funds held in the Non-custodial Wallet on Base are subject to the inherent risks of blockchain technology, including: (a) protocol-level risks; (b) smart contract risks; (c) network congestion risks; (d) key loss or compromise risks (see Section 6).

  5. Aurea Hub does not provide investment advice and does not promote Stablecoins as investment instruments. The Merchant is solely responsible for their own financial decisions.

  1. Outbound Payments (Payout and Send)

  1. The Merchant may initiate outbound payments through the Service in two ways: (a) automated payout from their Non-custodial Wallet to their own IBAN; (b) SEPA payment to a third-party IBAN (send).

  2. Outbound payments are executed by the Financial Partner (Noah or Monerium). Aurea Hub does not directly execute outbound payments.

  3. Before initiating any outbound payment, the Merchant must carefully verify the accuracy of the destination IBAN. Signing an on-chain transaction authorising a payment is an irreversible act: once the blockchain transaction has been executed, neither Aurea Hub nor the Financial Partner can cancel it.

  4. Outbound SEPA payment processing times depend on the Financial Partner and the interbank system. Aurea Hub does not guarantee any specific processing time.

  5. Aurea Hub is not liable for errors in the destination IBAN entered by the Merchant, or for delays or non-execution of payments attributable to the Financial Partner, correspondent banks, or interbank circuits.

  1. Merchant Obligations

  1. Tax compliance. The Merchant is solely and exclusively responsible for all tax obligations connected with their commercial activity, including but not limited to: issuing invoices and/or fiscal receipts to customers, applying and remitting VAT, filing income tax returns and any other mandatory tax declarations. Aurea Hub is not a withholding agent, does not issue tax certifications, does not withhold taxes on account, and does not manage or supervise the Merchant’s tax obligations.
    2. Regulatory compliance. The Merchant undertakes to use the Service in compliance with all applicable law, including anti-money laundering legislation (Legislative Decree 231/2007 as amended, EU Directive 2018/843), data protection law (GDPR), and any other relevant sectoral regulation.
    3. Transparency towards Payers. The Merchant must provide their customers (Payers) with clear, complete, and legally compliant terms and conditions. The Merchant is solely responsible to their Payers for any matter relating to the goods or services sold.
    4. Lawful use. The Merchant undertakes to use the Service exclusively for lawful purposes, in compliance with these T&C and applicable law.

  1. Prohibited Activities

The Merchant is strictly prohibited from using the Service for the following activities, by way of example and not limitation:

  1. money laundering, financing of terrorism or any terrorist activity, proliferation of weapons of mass destruction;

  2. sale or purchase of firearms, ammunition, explosives, military weapons, or any offensive instrument;

  3. sale or purchase of narcotics, psychotropic substances, or drug precursors;

  4. provision of sexual services, pornographic content, or adult content of any kind;

  5. unlicensed gambling, betting, or lottery services;

  6. phishing, scams, computer fraud, or any form of deception against third parties;

  7. sale of prescription drugs without the required authorisations;

  8. sale of counterfeit products or infringement of third-party intellectual property rights;

  9. provision of unauthorised financial services without the required regulatory licences;

  10. pyramid or Ponzi schemes or non-compliant multi-level marketing systems;

  11. any activity that violates international economic and trade sanctions (OFAC, EU, UN);

  12. fundraising for or financing of terrorist or criminal organisations;

  13. any other activity unlawful under applicable Italian, European, or international law.

Breach of this article will result in immediate account suspension and reporting to the relevant authorities. Aurea Hub reserves the right to freeze funds that may be the subject of illegal activities, to the extent permitted by law and upon request of the authorities.

  1. Suspension and Account Closure

  1. Aurea Hub’s right. Aurea Hub may suspend or close the Merchant’s account at any time, with immediate effect and without prior notice, in the event of: (a) breach of these T&C; (b) suspension or revocation of KYC/KYB accreditation by the Financial Partner; (c) suspected fraudulent or illegal activity; (d) legal obligation or request by the competent authorities; (e) prolonged account inactivity (exceeding 12 consecutive months), with 30 days’ prior notice.

  2. Merchant’s right. The Merchant may close their account at any time by sending written notice to legal@aureahub.com. Before proceeding with closure, the Merchant must: (a) transfer all funds from their Non-custodial Wallet to an external address of their choice or to their IBAN via payout; (b) ensure no pending transactions exist.

  3. Residual funds. As the Service is fully non-custodial, Aurea Hub does not hold the Merchant’s funds and is unable to return funds remaining in the Non-custodial Wallet after account closure. The Merchant bears full and sole responsibility for retrieving their funds before closure.

  4. Effects of closure. Following account closure, Aurea Hub will deactivate access to the Platform. Personal data will be processed and retained in accordance with applicable data protection law and as set out in the Privacy Policy.

  1. Limitations of Liability of Aurea Hub

  1. Service provided “as is”. The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, freedom from defects, continuity, or infallibility.

  2. Exclusion of liability. To the maximum extent permitted by applicable Italian and European law, Aurea Hub excludes all liability for: (a) direct, indirect, incidental, consequential, punitive, or reputational damages, or loss of profits; (b) loss of data or cybersecurity breaches; (c) downtime, interruptions, or malfunctions of the Platform, the Base blockchain, or the Financial Partners’ infrastructure; (d) errors in conversion rates applied by the Financial Partner; (e) delays or non-execution of SEPA payments; (f) errors or conduct of the Financial Partners (Noah LT, UAB and Monerium EMI ehf.) or any other third-party provider; (g) exploits or loss of funds arising from bugs in smart contracts or Aurea Hub’s gasless relayer; (h) loss of Non-custodial Wallet private keys or loss of access to the email account; (i) errors in the destination IBAN entered by the Merchant; (j) fluctuations or loss of the Stablecoin peg; (k) Financial Partner decisions on KYC/KYB; (l) unilateral withdrawal, suspension, or modification of services by the Financial Partners; (m) tax violations or sanctions imposed on the Merchant.

  3. Liability cap. Without prejudice to any non-waivable mandatory provisions of law, Aurea Hub’s maximum aggregate liability to the Merchant for any cause whatsoever is limited to the greater of: (a) €100.00 (one hundred euros); (b) the total Aurea fees actually paid by the Merchant in the 12 months preceding the event giving rise to the claim.

  4. Indemnification. The Merchant agrees to indemnify, defend, and hold harmless Aurea Hub, its directors, employees, contractors, agents, and successors from any claim, action, proceeding, damage, loss, cost, or expense (including reasonable legal fees) arising from or connected to: (a) breach of these T&C by the Merchant; (b) illegal or prohibited activities conducted through the Service; (c) claims by third parties (including Payers) relating to the Merchant’s goods or services; (d) tax or regulatory violations attributable to the Merchant; (e) provision of false or inaccurate information to Aurea Hub or the Financial Partners.

  1.  Intellectual Property

  1. All intellectual property rights relating to the Aurea Pay Platform, including trademarks, logos, trade names, source code, designs, user interfaces, documentation, and any other creative materials, are the exclusive property of Aurea Hub S.r.l. or its licensors, and are protected by Italian and European intellectual property law.

  2. Aurea Hub grants the Merchant a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for the purposes set out in these T&C and for the duration of the contractual relationship.

  3. The Merchant is not authorised to copy, modify, distribute, sell, sublicense, decompile, or reverse engineer any component of the Platform without Aurea Hub’s prior written consent.

  1. Privacy and Personal Data

  1. The processing of the Merchant’s personal data is governed by Aurea Hub’s Privacy Policy, available at https://www.aureahub.com/privacy-policy, which forms an integral part of these T&C.
    2. Data collected during KYC/KYB is transmitted to the Financial Partners (Noah LT, UAB or Monerium EMI ehf., depending on the Rail selected) for identity verification and AML/CFT compliance purposes, as described in the Privacy Policy and in the Financial Partners’ own privacy notices.
    3. Aurea Hub implements appropriate technical and organisational measures to ensure data security: secrets and OAuth tokens are encrypted at rest using AES-256-GCM. Aurea Hub does not have access to KYC/KYB data collected by the Financial Partners.
    4. To exercise data protection rights (access, rectification, erasure, portability, objection), the Merchant may contact Aurea Hub at legal@aureahub.com.

  1. Notices and Communications

  1. All communications from Aurea Hub to the Merchant are made by email to the registered address. The Merchant must keep their email address current and check their inbox regularly.
    2. Communications sent by Aurea Hub to the registered email address are deemed received by the Merchant within 24 hours of sending, unless proven otherwise.
    3. Amendments to these T&C will be communicated with at least 30 days’ prior notice by email and by publication at https://www.aureahub.com/terms-conditions. Continued use of the Service after the notice period constitutes acceptance of the amendments.

  1. Dispute Resolution

  1. These T&C are governed by Italian law.

  2. Before resorting to any judicial or arbitral authority, the Parties undertake to attempt in good faith to resolve the dispute amicably within 30 days of written notification.

  3. Disputes relating to the validity, interpretation, performance, termination, or cancellation of these T&C shall be submitted to the exclusive jurisdiction of the Courts of Milan, without prejudice to the consumer’s mandatory jurisdiction under Legislative Decree 206/2005, where applicable.

  1. General Provisions

  1. 1.  Entire agreement. These T&C, together with the Privacy Policy available at https://www.aureahub.com/privacy-policy, constitute the entire agreement between Aurea Hub and the Merchant and supersede all prior agreements.

  2. Severability. If any provision is declared invalid by a competent authority, the remaining provisions shall remain in full force and effect.

  3. Assignment. The Merchant may not assign their rights or obligations without Aurea Hub’s prior written consent. Aurea Hub may freely assign its rights and obligations, including in the context of mergers or business transfers.

  4. Waiver. Failure by Aurea Hub to exercise a right under these T&C does not constitute a waiver of that right.

  5. Force majeure. Aurea Hub is not liable for failures or delays caused by events beyond its reasonable control, including: malfunctions or outages of the Base or Ethereum blockchain network (including forks, rollbacks, 51% attacks); hacks, exploits, or insolvency of Circle (USDC issuer) or Monerium EMI ehf. (EURe issuer); revocation, suspension, or withdrawal of the Financial Partners’ regulatory authorisations (Noah LT, UAB or Monerium EMI ehf.); cyberattacks, natural disasters, pandemics, governmental actions, embargoes, Internet or telecommunications outages. A force majeure event suspends the obligation to perform; if it lasts more than 90 days, either Party may withdraw from the agreement without liability.

  1. Acceptance of Terms

The Merchant declares that they have read, understood, and fully accepted these Terms and Conditions and Aurea Hub’s Privacy Policy, by explicitly ticking the relevant checkbox during the registration process on the Platform. Such acceptance constitutes a binding contractual declaration governed by applicable Italian law. These T&C are permanently available and printable at https://www.aureahub.com/terms-conditions.
